These Terms of Service ("Terms") govern your access to and use of the Fringe mobile app, websites, and related software and services (collectively, the "Services") provided by FringeWorks, Inc. ("Fringe," "we," "us," or "our").
By accessing or using the Services, you agree to these Terms.
1. Eligibility
You may use the Services only if:
- You are at least 13 years old
- You are legally able to enter into a binding agreement
- You are authorized to use the Services by a participating club, by your employer, or by Fringe, as applicable
If you use the Services on behalf of a club or organization, you represent that you have authority to bind that entity.
2. The Services
Fringe provides software that helps clubs and their members manage things such as:
- Reservations and bookings
- Tee times, court or simulator scheduling
- Tournaments, events, and participation
- Scoring and related golf or club activity
- Account settings, device sessions, notifications, and support features
We may add, remove, or modify features from time to time.
3. Club Relationship and Club Rules
Fringe provides the software platform, but clubs are our customers and control many of the underlying membership, booking, event, tournament, and facility rules reflected in the Services.
Your club may determine or control matters such as:
- Eligibility for membership or use
- Reservation availability and booking windows
- Cancellation, waitlist, and attendance rules
- Event participation requirements
- Amenity access and account status
- Club-specific codes of conduct and facility rules
Club-specific rules, policies, and operational decisions supplement these Terms and, where applicable, override these Terms with respect to club-operated experiences, except where prohibited by law or where Fringe's platform-security or legal requirements apply.
4. Accounts and Security
You are responsible for:
- Providing accurate information where required
- Maintaining the confidentiality of your device, PIN, and other credentials
- Using only accounts and profiles authorized for you
- Promptly notifying your club or Fringe of suspected unauthorized access
You may not:
- Share access credentials in a way that permits unauthorized use
- Impersonate another person except through an authorized admin feature explicitly provided by Fringe
- Attempt to bypass authentication, access controls, or security protections
We may suspend or restrict access if we reasonably believe an account has been compromised or is being misused.
5. Acceptable Use
You agree not to:
- Use the Services in violation of law, club policy, or these Terms
- Interfere with or disrupt the Services
- Attempt to probe, scan, reverse engineer, or exploit the Services except as allowed by law
- Submit false, misleading, or abusive content
- Post, upload, or share content — including profile photos — that is offensive, obscene, harassing, hateful, defamatory, sexually explicit, or otherwise objectionable
- Use the Services to harass, threaten, or harm others
- Upload malicious code or misuse automation against the Services
- Use the Services to facilitate unlawful gambling or other unlawful conduct
6. Reservations, Events, Scores, and Club Content
The Services may display reservations, event details, scoring information, handicaps, and other club-related content. That information may depend on inputs from clubs, members, third-party sources, or automated systems.
You understand and agree that:
- Availability, schedules, and results may change
- Clubs may modify or cancel reservations, events, or access
- Scoring, standings, and related features may contain delays, errors, or later corrections
- Fringe does not guarantee uninterrupted access or the accuracy of all club-supplied or user-supplied information
7. Pools, Points, and Entertainment Features
Certain features may involve pools, points, entertainment scoring, or similar game mechanics. Unless expressly stated otherwise in writing by Fringe, these features:
- Are not bank accounts, payment accounts, or stored-value accounts
- Do not represent cash balances or money held by Fringe
- Are not intended to mean that Fringe manages, holds, processes, or is responsible for money associated with any gambling, wagering, or side arrangements that users or clubs may separately conduct
- May be subject to club-specific rules or restrictions
Fringe may suspend or remove access to these features if required for legal, compliance, platform-policy, or club-policy reasons.
8. User Content
To the extent you submit content through the Services, such as profile information, photos, scores, comments, or other materials ("User Content"), you retain any rights you have in that content.
You grant Fringe a non-exclusive, worldwide, royalty-free license to host, store, process, display, and use User Content as necessary to operate, maintain, support, improve, and provide the Services to you and the relevant club.
You represent that you have the right to submit that content and that it does not violate law or the rights of others.
We may review User Content and may remove or disable access to any User Content that we reasonably believe violates these Terms or is objectionable, and we may restrict or suspend the responsible account.
9. Intellectual Property
The Services, including software, design, text, graphics, trademarks, logos, and related materials, are owned by Fringe or its licensors and are protected by intellectual property laws.
Except for the limited right to use the Services in accordance with these Terms, Fringe grants no license or other rights to you.
10. Third-Party Services and Links
The Services may integrate with or link to third-party services, sites, or infrastructure. Fringe is not responsible for third-party services we do not control.
11. Suspension and Termination
We may suspend, restrict, or terminate access to the Services if:
- You violate these Terms
- Your club revokes your authorization or access
- We reasonably believe suspension is necessary to protect the Services, users, clubs, or Fringe
- We are required to do so by law or platform policy
You may stop using the Services at any time. If available, you may also use the in-app account deletion flow.
12. Privacy
Our Privacy Policy explains how we collect, use, and disclose information. By using the Services, you acknowledge that you have reviewed the Privacy Policy.
13. Disclaimers
Without limiting the foregoing, Fringe does not warrant that the Services will be uninterrupted, error-free, secure, or always fully accurate.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRINGE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF FRINGE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID TO FRINGE, IF ANY, FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM.
15. Indemnity
You agree, to the extent permitted by law, to defend, indemnify, and hold harmless Fringe and its affiliates, officers, employees, contractors, and licensors from and against claims, liabilities, damages, losses, and expenses arising out of or related to your misuse of the Services, your violation of these Terms, your violation of applicable law, or your User Content.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state courts located in Cook County, Illinois, or the federal courts located in the Northern District of Illinois, and you consent to the jurisdiction and venue of those courts.
Nothing in these Terms prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction where necessary to protect rights, property, confidentiality, or intellectual property.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last Updated" date and may provide additional notice where appropriate. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.
